Welcome to EdSpan Global. These Terms of Use ("Terms") govern your access to and use of the EdSpan Global website located at edspanglobal.com and all related services, features, and content, including but not limited to the Spark Incubator and College Counseling platforms (collectively, the "Services"), operated by EdSpan Global, LLC ("EdSpan," "we," "our," or "us").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, please do not use the Services.
Our Services are intended for users of all educational stages, from high school through career development. By using the Services, you represent that you have the legal capacity to enter into a binding agreement, or that a parent or legal guardian has reviewed and consented to these Terms on your behalf. We do not knowingly permit children under the age of 13 to use our Services without verifiable parental consent. If you are accessing the Services on behalf of a school, organization, or institution, you represent that you are authorized to bind that entity to these Terms.
Certain features of the Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at contact@edspanglobal.com.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
All content on the EdSpan Global website and platform, including but not limited to text, graphics, logos, images, course materials, software, and other materials, is the property of EdSpan Global, LLC or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial educational purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Services without our prior written consent.
You may submit content through the Services, such as personal statements, writing samples, project materials, messages, and feedback ("User Content"). By submitting User Content, you grant EdSpan Global a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your User Content solely for the purpose of operating and improving the Services. You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third-party rights or applicable laws.
EdSpan does not claim ownership of your User Content. Your User Content remains your property, subject only to the limited license granted above.
Your use of the Services is also governed by our Privacy Policy, available at edspanglobal.com/privacy-policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy, including how we collect, use, and share information about you. We encourage you to review it carefully.
Certain Services may be subject to fees. All fees are stated in U.S. dollars and are due as specified at the time of purchase or subscription. Fees are non-refundable except as expressly set forth in a separate service agreement, or as required by applicable law. EdSpan reserves the right to modify its pricing at any time with reasonable advance notice to affected users.
The Services may integrate with or contain links to third-party websites, tools, or services. EdSpan is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and policies. The inclusion of any third-party link does not imply endorsement by EdSpan.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EDSPAN DOES NOT GUARANTEE ANY SPECIFIC EDUCATIONAL OUTCOMES, COLLEGE ADMISSIONS RESULTS, OR CAREER PLACEMENT AS A RESULT OF USING THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDSPAN GLOBAL, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO EDSPAN IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless EdSpan Global, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion. Upon termination, all licenses granted under these Terms will immediately cease. Sections 4, 5, 6, 9, 10, 11, and 13 shall survive any termination of these Terms.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith informal negotiation for a period of thirty (30) days. If not resolved informally, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in New York, New York. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
We may update these Terms from time to time to reflect changes in our practices, Services, or applicable law. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Services after any update constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
